Terms and Conditions for Online License Resellers of Microsoft Software

These terms and conditions ("Agreement") govern the relationship between the online license reseller ("Reseller") and the customers ("Customers") who purchase Microsoft software licenses ("Software Licenses") through the Reseller's platform ("Platform"). By using the Platform and purchasing Software Licenses, Customers agree to be bound by these terms and conditions.

 

License Sales

1.1. Authorization: The Reseller acknowledges and confirms that it only sells Software Licenses and does not sell or distribute the underlying software itself, as the Software is Microsoft's trademark and proprietary product. 

1.2. License Grant: The Reseller grants Customers a non-exclusive, license to use the Software Licenses in accordance with the terms and conditions specified by Microsoft in the applicable end-user license agreement ("EULA"). 

1.3. Authenticity: The Reseller guarantees the authenticity and legitimacy of all Software Licenses sold through the Platform. The Software Licenses are sourced directly from Microsoft or authorized distributors.

 

Purchases and Payments

2.1. Pricing and Availability: The prices of Software Licenses are displayed on the Platform and are subject to change without prior notice. The Reseller reserves the right to modify or discontinue the availability of any Software License at any time.

2.2. Order Placement: Customers may place orders for Software Licenses through the Platform. By placing an order, Customers agree to pay the specified price for the selected License(s).

2.3. Payment: Customers must provide accurate and valid payment information. The Reseller accepts payment through authorized payment methods displayed on the Platform. All payments must be made in the currency specified on the Platform.

 

Delivery, Warranty, and Support

3.1. License Delivery: The Reseller will deliver the Software License(s) to the Customer electronically or by providing license keys and download instructions through the Platform or via email within a reasonable timeframe.

3.2. Warranty: The Reseller provides a 1-year warranty free of charge for the Software Licenses. This warranty covers any defects or issues with the Software Licenses that may arise during the warranty period. Customers are entitled to a replacement or refund if the defect happens within 30 days, or else a replacement (not refund) after the 30 day period. If the Reseller cannot resolve the defect or issue by providing a replacement, the customer will be granted a FULL refund. 

3.3. Support: The Reseller offers Chat, WhatsApp, and email support around the clock for Customers who have purchased Software Licenses. The support services are aimed at assisting Customers with installation, activation, and general inquiries related to the Software Licenses. The company guarantees a 24 hour max response time.

 

Intellectual Property Rights

4.1. Ownership: The Software Licenses and all associated intellectual property rights are owned by Microsoft or its licensors. Customers acknowledge that they acquire only a limited license to use the Software Licenses and that no ownership rights are transferred to them.

 4.2. Trademarks: The Microsoft name, logos, and all related product and service names, designs, and slogans are trademarks of Microsoft or its affiliates. Customers must not use any of these trademarks without prior written consent from Microsoft.

 

Limitations of Liability

5.1. Disclaimer: The Reseller disclaims any warranties, whether express or implied, regarding the Software. The Reseller does not guarantee the compatibility, reliability, or performance of the Software and shall not be held liable for any direct, indirect, incidental, consequential, or special damages arising from the use or inability to use the Software since the reseller is a license seller but has no incidence on the Software which is Microsoft’s Trademark.

 

General Provisions

6.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Reseller is registered.

6.2. Entire Agreement: This Agreement constitutes the entire agreement between the Reseller and Customers, superseding any prior agreements or understandings, whether written or oral, regarding the subject matter herein. 

6.3. Severability: If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
